Alberg CPA — Firm Software
Terms of Service
Last updated: September 9, 2026
1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Alberg CPA ("Alberg CPA," "we," "us," or "our") governing your access to and use of the Alberg CPA firm software platform, including its client portal, workflow management, bookkeeping, reconciliation, billing, and reporting features (the "Platform"), and any related software provided to you as part of an engagement with Alberg CPA. By creating an account, logging in, or otherwise using the Platform, you agree to be bound by these Terms and our Privacy Policy, available at /privacy. If you are using the Platform on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms.
2. Description of the Platform
The Platform is proprietary software operated by Alberg CPA to support the accounting, bookkeeping, tax, reconciliation, and advisory services we provide to our clients. Access to the Platform is limited to authorized users, including Alberg CPA personnel and clients or their designated representatives. The Platform is licensed to you as part of your engagement with Alberg CPA and is not sold to you.
3. Accounts and Authorization
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use of your account or any other security concern. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security risk.
4. Client Data and Third-Party Services
In connection with our services, the Platform may — only with your authorization — connect to third-party services you designate, including QuickBooks Online operated by Intuit Inc. ("Intuit"). When you authorize such a connection, we access accounting and financial data from that service solely as necessary to provide the services agreed upon in your engagement (for example, accounting, bookkeeping, transaction reconciliation, financial reporting, and related services). Your use of QuickBooks Online is also governed by Intuit's terms and policies, and we do not control and are not responsible for those services. You may revoke our access to a connected service at any time through the Platform or through the applicable provider's account settings.
5. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable law or professional standard;
- Attempt to gain unauthorized access to the Platform, other users' data, or any connected third-party service;
- Interfere with, disrupt, or attempt to circumvent the security or functionality of the Platform;
- Misrepresent your identity or affiliation, or upload malicious code or content; or
- Use the Platform to store or process data you have no right to provide to us.
6. Intellectual Property
Alberg CPA retains all right, title, and interest in and to the Platform, including all software, designs, workflows, and documentation. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform solely in connection with your engagement with Alberg CPA. Client data remains the property of the client, subject to applicable record-retention requirements and law.
7. Professional Services; No Advice from the Platform Alone
The Platform is a tool supporting the professional services we render under a separate engagement letter. Use of the Platform alone does not create a client relationship and does not constitute legal, tax, accounting, or professional advice. Professional services are governed exclusively by the terms of your engagement letter with Alberg CPA.
8. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, EXCEPT TO THE EXTENT REQUIRED BY LAW. We do not warrant that the Platform will be uninterrupted, error-free, or free of defects, or that third-party services connected to the Platform will remain available or accurate.
9. Limitation of Liability
To the maximum extent permitted by law, Alberg CPA shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising from or related to your use of, or inability to use, the Platform, even if we have been advised of the possibility of such damages. Our aggregate liability arising out of or relating to the Platform shall not exceed the fees paid by you to Alberg CPA for the services supported by the Platform during the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability arising from our professional services under your engagement letter.
10. Indemnification
You agree to indemnify and hold harmless Alberg CPA, its affiliates, and its personnel from claims, damages, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your unauthorized use of the Platform, or data you provide to the Platform in breach of any law or third-party right.
11. Suspension and Termination
We may suspend or terminate your access to the Platform if you breach these Terms, if your engagement with Alberg CPA ends, or as otherwise necessary to protect the Platform or its users. Upon termination, your right to use the Platform ceases. Client data will be handled in accordance with our Privacy Policy and applicable record-retention obligations.
12. Changes to These Terms
We may update these Terms from time to time to reflect changes in the Platform or applicable law. The current version will be posted on this page with the "Last updated" date above. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.
13. Governing Law and Contact
These Terms are governed by the laws of the state in which Alberg CPA principally operates, without regard to conflict-of-law principles. Questions about these Terms may be directed to your Alberg CPA engagement team or through the contact information provided in your engagement letter.
